Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Tipsy Music platform operated by Tipsy Music Oy (“Tipsy Music”, “we”, “us”, or “our”).

The Service includes the website available at https://tipsymusic.fi, the web application available at https://tipsymusic.app, the Tipsy Music mobile applications, and related services, features, and content we make available.

These Terms include:

  • General Terms that apply to all Users; and
  • Artist-Specific Terms that apply only to Users who use the Service as Artists.

By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

Part A — General Terms

1. Definitions

For the purposes of these Terms:

“Artist” (also referred to in the Service as a “Performer”) means a User who creates an artist profile, creates or manages Events, receives song requests through the Service, and may become eligible to receive payouts through the Service.

“Audience Member” means a User who joins an Event, browses content, submits song requests, or sends voluntary Tips through the Service.

“Boost” means the increased visibility, ranking, or priority that a song request may receive within the Service as a result of one or more Tips or other in-Service ranking factors.

“Event” means a live performance, gig, or other live session created or managed by an Artist through the Service.

“Payment Provider” means a third-party payment or payout service provider used in connection with the Service, such as Stripe.

“Service” means the Tipsy Music website, web application, mobile applications, and related services, features, and content.

“Tip” means a voluntary payment sent by an Audience Member through the Service in connection with an Artist and/or a song request. “User” means any person who accesses or uses the Service, including both Artists and Audience Members.

2. Eligibility; 18+ Only

The Service is intended only for individuals who are at least eighteen (18) years old.

By accessing or using the Service, you represent and warrant that you are at least 18 years of age.

Tipsy Music may refuse access to the Service, suspend or terminate accounts, or restrict features if we reasonably believe that a User is under 18 or has provided inaccurate age-related information.

3. Platform Role

Tipsy Music provides a technology platform that facilitates interaction between Artists and Audience Members during live Events.

Tipsy Music does not organize performances, operate venues, employ Artists, provide entertainment services, or guarantee the availability, quality, legality, or performance of any Event or musical performance. Artists act independently and control their own performances, song selections, and artistic decisions.

Nothing in these Terms creates any employment, agency, partnership, joint venture, or similar relationship between Tipsy Music and any Artist or other User.

4. Accounts and User Information

You are responsible for ensuring that the information you provide to us is accurate, complete, and kept up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account, except to the extent caused by our breach of security obligations.

We may refuse registration, reclaim usernames, or restrict account access where reasonably necessary for legal, operational, security, or platform integrity reasons.

5. Events, Requests, and Live Performance Realities

Artists may create profiles, create or manage Events, upload song catalogs, and receive song requests through the Service.

Audience Members may join Events, browse available song options where applicable, and submit song requests through the Service.

Song requests submitted through the Service are suggestions only. A request, whether or not associated with a Tip, does not create any obligation for the Artist to perform any particular song, at any particular time, or in any particular order. All artistic, musical, and performance-related decisions remain solely with the Artist.

Because the Service is used in live-event environments, requests and request rankings may be delayed, may not be seen immediately, or may not be acted on before an Event ends. A requested song may remain unperformed for many reasons, including timing, artistic choice, technical issues, connectivity issues, health-related reasons, Event interruption, or early Event ending.

6. Tips and Boosts

The Service may allow Audience Members to send voluntary Tips in connection with live Events and song requests. A Tip is a voluntary payment made through the Service in connection with an Artist and/or a song request. A Tip may create a Boost within the Service, but it does not purchase or guarantee the performance of any song or other service from Tipsy Music.

By sending a Tip, the Audience Member acknowledges and agrees that:

  • a. the payment is voluntary;
  • b. the payment does not constitute the purchase of goods or services from Tipsy Music;
  • c. the payment does not guarantee that any song request will be performed; and
  • d. all performance decisions remain at the sole discretion of the Artist.

A Tip may affect the visibility, ranking, or priority of a song request within the Service. Any such effect is referred to in these Terms as a Boost.

In-Service rankings, popularity indicators, Top 10 lists, and similar features generally prioritize song requests based on one or more of the following main parameters:

  • a. the total amount of Tips associated with a request;
  • b. the number of Audience Members who have requested the song; and
  • c. the timing of the request.

Tipsy Music may make limited technical, operational, or product changes to how rankings are displayed or calculated, provided that the core purpose of the ranking features remains materially consistent with the Service.

7. Payment Processing, Refunds, and Payment Issues

Payments, payouts, and related services are processed by one or more Payment Providers, such as Stripe. Tipsy Music does not store full payment card details.

Use of payment-related features may require a User to agree to the terms and policies of the applicable Payment Provider. Tipsy Music is not responsible for the independent acts, omissions, decisions, availability, or compliance practices of any Payment Provider.

Tips are generally non-refundable unless required by applicable law or unless Tipsy Music determines, in its discretion, that a refund is appropriate in the circumstances. Refunds may, for example, be considered in certain cases where a payment succeeds but the corresponding Boost or in-Service request effect is not correctly applied because of a technical failure.

For the avoidance of doubt, a Tip is not refundable merely because the Artist did not perform the requested song.

Disputed, reversed, unauthorized, failed, or fraudulent payments may be reviewed and handled on a case-by-case basis. In such cases, access to payment-related features or associated payouts may be delayed, restricted, withheld, reversed, or adjusted where reasonably necessary due to chargebacks, reversals, fraud risk, legal compliance, or Payment Provider requirements.

8. Audience Member Responsibility

Audience Members are responsible for their conduct and for any content, requests, or interactions they submit through the Service.

Audience Members must not use the Service to harass Artists, submit unlawful or abusive content, interfere with live Events, misuse payment features, or attempt to manipulate requests, rankings, or payments dishonestly.

9. Off-Platform Circumvention

Users agree not to intentionally and systematically circumvent the Service by arranging off-platform payments or other off-platform transactions for interactions originating through the Service where doing so is intended to avoid platform rules, applicable fees, restrictions, or compliance processes.

Accounts involved in such intentional circumvention may be restricted, suspended, or terminated.

Nothing in this section prevents Users from independently engaging outside the Service in ways unrelated to interactions initiated through the Service.

10. Prohibited Conduct

You must not:

  • a. violate any applicable law or regulation;
  • b. infringe the rights of others, including intellectual property, privacy, publicity, or contractual rights;
  • c. submit false, misleading, or fraudulent information;
  • d. create fake Events, fake accounts, or manipulate requests, rankings, or payments dishonestly;
  • e. engage in payment fraud, chargeback abuse, money laundering, or misuse of payout systems;
  • f. upload or transmit malware, harmful code, or other harmful material;
  • g. interfere with the security, integrity, or operation of the Service;
  • h. scrape, copy, reverse engineer, or exploit the Service except as permitted by mandatory law; or
  • i. use the Service in a way that could expose Tipsy Music, its Users, or its service providers to legal, regulatory, or security risk.

11. User Content

You retain ownership of content you submit to the Service, subject to any rights granted under these Terms.

By submitting or making content available through the Service, you grant Tipsy Music a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, transmit, and otherwise process that content solely for the purposes of operating, improving, securing, and providing the Service, and for complying with legal obligations.

You represent and warrant that you have the necessary rights to submit such content and to grant the above license.

Tipsy Music may remove or restrict content where reasonably necessary for legal compliance, platform integrity, safety, or enforcement of these Terms.

12. Third-Party Services

The Service relies on third-party services, including Payment Providers such as Stripe and infrastructure or analytics providers such as Google Firebase and Google Analytics.

These third parties operate under their own terms and privacy policies. Tipsy Music is not responsible for the independent acts or omissions of such providers.

13. Suspension and Termination

Tipsy Music may suspend, restrict, disable, or terminate access to the Service, an account, or specific features at any time where reasonably necessary, including where:

  • a. these Terms are violated;
  • b. required information is not provided or cannot be verified;
  • c. fraud, abuse, chargeback risk, or unlawful activity is suspected;
  • d. a Payment Provider requirement is not met;
  • e. legal, regulatory, tax, or security concerns arise; or
  • f. such action is otherwise necessary to protect the Service, Users, Tipsy Music, or third parties.

Users may stop using the Service at any time.

Where reasonably practicable, Tipsy Music may notify affected Users by email, in-app message, or other contact method of significant account restrictions, content removals, or payment-feature suspensions. Users may contact support@tipsymusic.app to request clarification or review of such actions. Nothing in this section limits any rights a User may have under applicable law. Any provisions of these Terms that by their nature should survive suspension or termination will survive, including provisions relating to payments, taxes, compliance, intellectual property, liability, and dispute resolution.

14. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis.

To the maximum extent permitted by applicable law, Tipsy Music disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation.

Tipsy Music does not guarantee that the Service will always be available, secure, accurate, or free from errors or harmful components.

15. Liability

To the maximum extent permitted by applicable law, Tipsy Music is liable only for direct damages actually caused by our breach of these Terms or applicable law.

Tipsy Music is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, or data arising out of or related to the Service, User activity, payment processing, third-party services, or these Terms.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

16. Consumer Rights

Nothing in these Terms limits any mandatory rights you may have under applicable consumer protection law.

If you are a consumer residing in the European Union or another jurisdiction with mandatory consumer protections, those protections remain applicable to the extent they cannot be contractually excluded.

17. Governing Law and Disputes

These Terms are governed by the laws of Finland, excluding its conflict of law rules.

If you have a dispute with Tipsy Music, please first contact us at support@tipsymusic.app so that we can attempt to resolve the matter informally.

To the extent permitted by applicable law, disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Finland.

If mandatory law gives you the right to bring a claim in another court or under another mandatory legal regime, those rights remain unaffected.

18. Changes to the Terms

We may update these Terms from time to time. The latest version will be made available through the Service or on our website and will indicate the date of the latest update.

If changes are material, we may provide additional notice where appropriate. Continued use of the Service after the updated Terms take effect constitutes acceptance of the revised Terms.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

Part B — Artist-Specific Terms

The following terms apply only to Users who use the Service as Artists.

20. Artist Eligibility

Only Users who are at least eighteen (18) years old may create an Artist account or access artist-specific or payout-related features.

Tipsy Music may refuse, restrict, suspend, or terminate Artist access where age or eligibility requirements are not met or where required onboarding or verification has not been completed.

21. Artist Payment Accounts and Verification

An Artist who wishes to receive payouts through the Service must maintain a valid account with the applicable Payment Provider and complete all required onboarding, identity verification, payment, compliance, and tax-related processes required by the Payment Provider or by Tipsy Music.

Tipsy Music may request additional information or documentation from an Artist where reasonably necessary for payment operations, fraud prevention, abuse prevention, legal compliance, accounting, security, platform integrity, or tax-related reporting obligations.

Tipsy Music may also require Artists to confirm or update relevant account, tax, payout, or compliance information from time to time where reasonably necessary or where required by applicable law.

Tipsy Music may suspend, restrict, or withhold access to payout-related features until required information or verification has been completed.

If legally required information is not provided after reasonable reminders and any legally required grace periods, Tipsy Music may suspend payouts, restrict Artist features, or close the Artist account where required or permitted by applicable law.

22. Artist Payouts and Fees

Unless otherwise clearly stated in the Service or in updated terms made available to Artists, the current fee model for Artists is as follows:

  • a. the Artist keeps 80% of each successful Tip processed through the Service;
  • b. a EUR 5 monthly platform fee applies only in months in which the Artist receives one or more Tips through the Service;
  • c. if the Artist receives no Tips in a given month, no monthly platform fee is charged; and
  • d. no subscription fee is required to start using the Service as an Artist, unless expressly stated otherwise in the Service.

Payment Provider fees, processing fees, payout fees, account fees, and similar third-party fees may also apply.

Payouts and payout timing depend on the Payment Provider, banking systems, account status, and compliance checks. Initial payouts for newly created or newly verified accounts may take longer than later payouts. Tipsy Music does not guarantee any specific payout timing.

Artists may be able to view payout and payment information through the applicable Payment Provider interface, such as Stripe Express.

23. Artist Tax Responsibility and Legal Reporting

Each Artist is responsible for determining, reporting, and paying any taxes arising from amounts received through the Service, including income tax, VAT, and similar taxes where applicable. Tipsy Music does not provide tax, accounting, or legal advice.

Notwithstanding the above, Tipsy Music may be required by applicable law to collect, verify, retain, use, and disclose information relating to Artists, payouts, transactions, tax residence, taxpayer identification numbers, VAT information where applicable, payment or payout account details, fees and commissions, and other legally required information.

Artists must provide accurate, complete, and up-to-date information and documentation upon request.

Tipsy Music may verify relevant information using documents provided by the Artist, information made available by the applicable Payment Provider, reliable databases, public registers, or third-party verification services where reasonably necessary or required by applicable law.

Tipsy Music may share relevant information with Payment Providers, accountants, auditors, advisers, and competent authorities where required by law or reasonably necessary for compliance.

Where required by applicable law, Tipsy Music may provide the Artist with a summary of reportable information or report-related earnings information for a relevant reporting period.

24. Artist Responsibility

Artists are solely responsible for: a. their performances, conduct, and interactions with audiences; b. the content they upload, submit, or make available through the Service; c. ensuring that their performances and content comply with applicable laws and third-party rights; and d. obtaining any licenses, permissions, consents, or authorizations required for their performances, including copyright, music licensing, neighboring rights, and public performance rights where applicable.

Tipsy Music does not provide music licensing, copyright clearance, or performance-rights clearance for Artist activity.

25. Artist Payment Disputes, Holds, and Adjustments

If a Tip or related payment is disputed, reversed, refunded, charged back, suspected to be unauthorized, or otherwise subject to investigation or Payment Provider action, associated payouts may be delayed, restricted, withheld, reversed, or adjusted where reasonably necessary.

Tipsy Music and the applicable Payment Provider may take reasonable steps to manage fraud risk, abuse risk, compliance risk, or payment disputes.

Nothing in these Terms guarantees that any disputed, reversed, or adjusted payment amount will remain payable to the Artist.

26. Artist Indemnity

To the maximum extent permitted by applicable law, each Artist agrees to indemnify and hold harmless Tipsy Music, its directors, officers, employees, and affiliates from and against claims, liabilities, damages, losses, and expenses, including reasonable legal expenses, arising out of or related to:

  • a. the Artist’s performances, content, or conduct;
  • b. the Artist’s violation of these Terms;
  • c. the Artist’s violation of applicable law or third-party rights;
  • d. false, incomplete, or misleading information provided by the Artist; or
  • e. the Artist’s misuse of payment, payout, or platform features.

This section does not apply to the extent the claim results from Tipsy Music’s own breach of these Terms or applicable law.
